These Terms of Service ("Terms") govern your access to and use of northcountydigital.com (the "Site"), operated by Eleven Endeavors LLC, doing business as North County Digital ("North County Digital," "we," "us," or "our").

These Terms govern use of the Site only. Services we provide to clients are governed by separate written agreements between North County Digital and each client.

3. Description of the Site

"North County Digital," "Eleven Endeavors," and related marks, logos, and branding are trademarks or service marks of Eleven Endeavors LLC. Other trademarks appearing on the Site are the property of their respective owners.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal or internal business purposes. You may not reproduce, distribute, modify, publicly display, publicly perform, or create derivative works from Site content without our prior written consent.

8. Copyright Complaints and DMCA Notice

We respect the intellectual property rights of others. If you believe that content on the Site infringes your copyright, please send a written notice to our designated copyright agent that includes the following:

If you send us suggestions, feedback, testimonials, or other input about the Site or our services, you agree that we may use that input without obligation or compensation to you, and you grant us a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, and distribute it for any lawful purpose.

The Site includes an AI-powered chat assistant. Responses generated by the AI are for general informational and scheduling purposes only, may contain errors or omissions, and should not be relied on as professional advice or as binding commitments by North County Digital.

Do not use the AI chat for urgent matters, emergencies, or to convey time-sensitive legal, financial, or other professional information. 12. Marketing Communications and Consent

By submitting your contact information through the Site, you consent to receive communications from us by email related to your inquiry, the services you have requested, and our marketing resources. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ELEVEN ENDEAVORS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS ($100); OR (B) THE AMOUNT YOU PAID US, IF ANY, FOR USE OF THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

18. Indemnification

You agree to defend, indemnify, and hold harmless Eleven Endeavors LLC, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Site; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) the content of any information you submit through the Site.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.

19. Dispute Resolution, Governing Law, and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws rules.

You and North County Digital agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in San Diego County, California. You consent to the personal jurisdiction of such courts and waive any objection to venue.

You and North County Digital each agree that any cause of action arising out of or related to the Site or these Terms must be commenced within six (6) months after the cause of action arose, or it will be permanently barred.

To the extent permitted by law, you and North County Digital agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding.

20. Termination

We may suspend, restrict, or terminate your access to the Site at any time, with or without notice, for any reason, including any violation of these Terms.

Sections of these Terms that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution, shall survive.

21. International Use

The Site is operated from the United States and is intended for users located in the United States. We make no representation that the Site or its content is appropriate or available for use in other locations. If you access the Site from outside the United States, you do so at your own initiative and are responsible for compliance with applicable local laws.

22. Force Majeure

We will not be liable for any delay or failure to perform our obligations under these Terms caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, fire, flood, earthquake, war, terrorism, civil unrest, strikes or labor disputes, government action, internet or utility outages, cyberattacks, or failures or interruptions of third-party services, platforms, or infrastructure on which the Site relies.

23. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy and any separate written agreement between you and North County Digital for services, constitute the entire agreement between you and us regarding the Site and supersede any prior agreements on the same subject.

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign or transfer these Terms without restriction.

No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by us.

No Agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and us.

Headings. Section headings are for convenience only and do not affect interpretation.
